REQUIREMENTS FOR REGISTRATION OF A COMMERCIAL REPRESENTATION BRANCH OR BUREAU OF A FOREIGN COMPANY

 

  (As per Ministerial Instructions No. 149 of 29/2/2004)

1- A copy of the issued registration certificate registered by the authorized body in the original country.

2- A copy of the COMPANY’s establishment certificate or equivalent, accredited by the authorized body in the original country.

3- The final accounts for the last fiscal year including a statement of profits and losses.

4- An official letter issued by the COMPANY’s principal center on COMPANY’s headed paper showing’s information about the COMPANY  (signed by the responsible person in the COMPANY or its director), authorizing registration in Iraq of a commercial representation branch or bureau as follows:

                                                                                        

a)    The official authorized for registering the commercial representation branch or bureau and responsible for submitting the application to the Companies Registrar, signing before him and receiving the notifications on behalf of the COMPANY.

b)   The Deputy of Services for Legal Works of the COMPANY in Iraq.

c)    The authorized main administrative official for management of the COMPANY’s activities in Iraq (branch or bureau director)

 

5- Careful filling of the special registration form and submitting 2 copies (1 copy for the Registrar, the other to be returned to the COMPANY) . The representative authorized for the registration shall be liable for all legal consequences arising from the invalidity of the submitted information.

 

Notes:

1- The fore-cited documents shall be authenticated by the Companies Registrar or any similar body and sealed by the official seal of this body.

2-The following is for residents in Iraq: Branch or bureau director, the Legal Deputy and the representative authorized to apply with the Companies Registrar.

3- Presentation, with the application, of the original copy of the authorized representative’s passport (for foreigners) and Civil Statute ID (for Iraqis)

4- In case the commercial representation’s branch  or bureau will exercise retail vending activities, then it is obliged to deposit 100 000 US dollars in a bank prior to completion of actual vending operation.

5- Any incomplete application non-complying with the fore-cited legal conditions shall be returned.

6- The registration duty for each application is (200 000) two hundred thousand Iraqi dinars as follows:

a)   Half of the duty to be paid up on submitting the application

b)  The remaining half shall be paid up upon issue of the registration license
